Corporations - Directors - Factors Considered in Best Interests of Corporation

Synopsis:

Authorizing a director of a corporation, in considering the best interests of the corporation and its shareholders, to consider specified factors consistent with the business judgment rule, including effects that the corporation's actions may have on potential growth, development, productivity, and profitability of the corporation, the economy of the State and the nation, the corporation's employees, suppliers, customers, and creditors, community and societal considerations, and the environment; etc.
