Synopsis:

Authorizing the directors of a corporation and a real estate investment trust to consider specified factors when making certain determinations; requiring the directors of a registered corporation to be divided into three classes for specified purposes; allowing a registered corporation to opt out of the procedures created by the Act; providing for special stockholders' meetings under certain circumstances; etc.
