Dear Mr. Speaker:

In accordance with Article II, Section 17 of the Maryland Constitution, today I have vetoed House Bill 549 - Corporations - Directors and Stockholders - Meetings, Notices, and Consents.

This bill provides that specified actions by the board of directors of a Maryland corporation, a committee of the board, or the stockholders of the corporation may be taken by a specified consent given in writing or by electronic transmission and filed in paper or electronic form in specified locations; and provides that meetings of the board of directors of a Maryland corporation may be held by means of remote communication.

Senate Bill 495, which was passed by the General Assembly and signed by me, accomplishes the same purpose. Therefore, it is not necessary for me to sign House Bill 549.
