Allowing a limited partnership to have a perpetual existence in specific circumstances; providing that a limited partner may not withdraw before the dissolution and winding up of a limited partnership unless specific conditions are met; and clarifying that a limited partner is entitled, on withdrawal from the limited partnership, to distributions.
